Web Hosting – Terms of Service (TOS):

These Terms of Service (referred to as the “Agreement”) establish the terms and conditions governing your use of our hosting and related services (collectively, the “Services”). In this Agreement, the terms “You” and “Your” pertain to you as the user of our Services, including any agent, employee, servant, or authorized representative acting on your behalf. The terms “We,” “us,” and “our” refer to Yiplahost., along with its subsidiaries and sister companies (“Yiplahost”). This Agreement outlines our responsibilities to you and your obligations to us regarding the Services offered by Yiplahost. By using your account, permitting someone else to use it for purchasing additional Services, acquiring access to them, or canceling your Services (even without notifying us of such authorization), you indicate your acceptance of the terms and conditions outlined in this Agreement.

1. Term of Agreement; Modification:

You acknowledge and agree that Yiplahost reserves the right to modify this Agreement and the Services provided to you periodically. You consent to be bound by any reasonable changes made to this Agreement by Yiplahost. If you have purchased Services from Yiplahost, the terms and conditions of this Agreement will remain in effect for as long as you utilize and benefit from the Services. By continuing to use the Services following any revisions to this Agreement or changes in the Services, you agree to comply with and be bound by such revisions or changes.

2. Accurate Information:

It is your responsibility to maintain accurate information by providing updates to Yiplahost whenever necessary while using the Services. You agree to promptly notify Yiplahost within five (5) business days of any changes to the information you provided during the application and/or registration process. Failure to respond within the specified timeframe to Yiplahost’s inquiries regarding the validity of your provided information will be considered a material breach of this Agreement. If you provide inaccurate, outdated, false, misleading, or incomplete information, or if Yiplahost has reasonable grounds to suspect such inaccuracies, Yiplahost has the sole discretion to terminate the Services and close your account.

3. Privacy:

Yiplahost’s Privacy Policy, which is incorporated by reference, applies to all Services. It outlines your rights and Yiplahost’s responsibilities regarding your personal information. Yiplahost will not use your information in a manner inconsistent with the purposes and limitations stated in the Privacy Policy. By using the Services after modifications to the Privacy Policy become effective, you agree to be bound by those modifications. If you do not agree with any such modifications, you may terminate this Agreement. Please note that Yiplahost does not provide refunds for fees paid if you terminate your Agreement under this provision. You represent and warrant that you have provided notice to and obtained consent from any third-party individuals whose personal data you supply to Yiplahost as part of the Services. This includes informing them of the purposes for collecting their personal data, the intended recipients or categories of recipients, which data is obligatory and which is voluntary, and how they can access and rectify their data. You also agree to provide such notice and obtain consent for any third-party personal data you supply to Yiplahost in the future. Yiplahost is not responsible for any consequences arising from your failure to provide notice or receive consent, nor for providing outdated, incomplete, or inaccurate data.

4. Acceptable Use Policy:

Yiplahost’s Acceptable Use Policy (AUP), which is incorporated by reference, applies to all Services. You must use the Services solely for lawful purposes and ensure that your website complies fully with the AUP. By using any Services, you agree to the following:

  • Adherence to applicable federal, state, and local government laws, regulations, ordinances, and requirements.
  • Not engaging in unsolicited commercial or bulk email transmission or any activities associated with spamming or Mail Bombing.
  • Not making illegal communications through Newsgroups, Mailing Lists, Chat Facilities, or other Internet Forums.
  • Not making unauthorized access attempts to Yiplahost’s website, servers, your hosting account, or other customers’ accounts.
  • Not allowing any remote execution of malicious software through Yiplahost’s hosting account.
  • Not initiating denial of service attacks, port scans, or other harmful activities against Yiplahost’s servers, facilities, or those of other network hosts or Internet users.
  • Not forging the signature or other identifying information of any other person or engaging in activities to deceive others regarding your true identity.
  • Not using Yiplahost’s services to host websites, content, links, or advertisements that infringe upon the copyrights, trademarks, patents, trade secrets, or other proprietary rights of third parties, contain adult-related or pornographic content, promote hatred towards specific social, ethnic, religious, or other groups, contain viruses or software that may damage computers or property, host warez or proxy servers, promote money-making schemes or multi-level marketing, host lottery or gambling activities, or engage in activities involving torrent trackers, violent content, or illegal actions.
  • Not uploading unacceptable material, such as IRC bots, warez, image or file storage services, streaming, investment sites without appropriate permits, AutoSurf sites, hate sites, hacking-focused sites, or sites promoting illegal activities.
  • Not engaging in actions that cause harm to Yiplahost or other customers, including actions resulting in the blacklisting of Yiplahost’s IPs or DDOS attacks.

Yiplahost reserves the right to refuse service to any individual at its discretion. Any material deemed obscene or threatening by Yiplahost will be promptly removed from its servers, which may result in warnings, suspension, or immediate termination of accounts without a refund. Yiplahost has sole authority to determine policy violations and appropriate corrective actions. If a violation is found, Yiplahost will notify you, and its decision is final. Yiplahost cannot be held liable for any loss or damage resulting from measures taken to protect itself or third parties. 

Yiplahost may terminate any hosting account that remains suspended for more than 14 calendar days after the suspension date, unless you rectify the initial suspension threat or violation. Backup copies of the account will be permanently deleted upon termination, and no refunds will be provided.

5. Storage and Security:

You are solely responsible for the risk of loss or damage to your server and all its content. It is your responsibility to maintain the confidentiality of your password and account information. You acknowledge and agree that you are fully responsible for all actions, omissions, charges, and use of your account, password, server, and server content. You are solely responsible for implementing measures to prevent loss or damage to your server content, maintaining independent backups, ensuring the security and integrity of your content on Yiplahost servers, and safeguarding the confidentiality of your password. Please note that Yiplahost services are not intended for data backup or archiving purposes. Using your account as an online storage space for archiving electronic files is prohibited and may result in termination of hosting services without prior notice. Yiplahost reserves the right to delete any archives that impact overall server performance, and Yiplahost shall have no liability for any loss, damage, or destruction of your content. Yiplahost services are not designed to provide a PCI (Payment Card Industry) compliant environment, and using them as such without further compliance activity is not recommended. Yiplahost shall not be liable for any misuse of its products and/or services in violation of these terms.

6. Ownership:

Except as otherwise stated, all rights, title, and interest in registered and unregistered trademarks, patents, trade secrets, copyrights, and other intellectual property rights related to the Services provided by Yiplahost (“IP rights”) are owned by Yiplahost or its third-party partners. You acknowledge that no title or ownership rights to the IP rights are transferred to you, except for the rights expressly granted in this Agreement. Any Derivative Work created by you shall be owned by Yiplahost, and all rights in such Derivative Work shall vest automatically in Yiplahost. Yiplahost is under no obligation to grant you any rights in any such Derivative Work.

7. Non-Exclusive Right to Use:

If you have purchased or obtained permission to use software from Yiplahost, you are granted a limited, non-exclusive, non-transferable, and non-assignable right to use the software for customary purposes. You may use the software on one computer at a time but not on multiple computers simultaneously. You are not authorized to modify or alter the software, combine it with other software programs, create derivative works, or reverse engineer the source code. Yiplahost reserves all rights to the software, which is protected by copyright law. Except as expressly provided in this Agreement, you do not acquire any rights in the software, and all rights are reserved by Yiplahost.

The software and services are provided “as is” without any warranties, whether express or implied, including but not limited to the implied warranties or conditions of merchantability or fitness for a particular purpose. 

8. Third-Party Software:

Yiplahost may provide certain third-party software to facilitate account management, such as cPanel, etc. This software is provided on an “as is” and “as available” basis. Yiplahost does not guarantee specific results from using such software and is not responsible for any faults in its functioning.

By using Yiplahost Services that include third-party software, you agree to be bound by the relevant third-party terms of service and use the services in accordance with those terms. 

8. Third-Party Software

Examples of such agreements include cPanel’s terms of service, which you explicitly agree to by ordering cPanel for your hosting services. You authorize Yiplahost to agree to such terms on your behalf. Failure to comply with any third-party license may result in immediate termination of your services by Yiplahost.

You may only add and use third-party software on your account if it is compatible with our servers and approved by Yiplahost. Your use of any third-party software is at your own risk. Yiplahost does not control or assume responsibility for the performance of third-party software, and we provide no guarantees regarding its use or any specific outcomes. Yiplahost shall have no liability or responsibility for any damage, loss of data, loss of use, or other loss arising from your use of third-party software or products. Yiplahost reserves the right to terminate, suspend, cancel, or modify your access to third-party software at any time.

You are solely responsible for any license and other fees required by the software providers when using third-party software installed on your account, apart from the initial account setup.

9. Third-Party Content:

If you choose to sell or resell advertising or web space to a third party, you are responsible for the contents of that advertising and the actions of the third party. Yiplahost has the right to reject any advertising or third-party content that is illegal, offensive, or violates our policies or agreements. Such content may result in the suspension or immediate termination of your account. It is your responsibility to monitor service renewals and orders. In the event of an error, you must promptly notify Yiplahost. Yiplahost shall not be liable to you for any damages resulting from or related to any failure or delay in domain registration, transfer, or renewal.

10. Billing and Payment:

All fees for the Services shall be in accordance with Yiplahost’s fee schedule, which is incorporated herein by reference. Payment shall be due as specified in the fee schedule. Yiplahost may impose a debt service charge for overdue balances. If any amount remains unpaid on the date when services expire, Yiplahost may terminate this agreement and/or withhold or suspend services. Yiplahost may provide a grace period for payment, but it is at our sole discretion. A fee may apply to reinstate suspended or terminated accounts. You are responsible for all taxes, fees, and governmental charges related to the Services.

If you signed up for a monthly payment plan, your billing date will be determined by the day of the month when you purchased the products or services. If you signed up for an annual (or longer) payment plan with automatic renewal, Yiplahost will automatically renew your Services and process payment according to the designated payment method and our current rates.

Improperly charging back for web hosting services rendered may result in the disabling of your ability to transfer any other Yiplahost services away from Yiplahost.

11. Termination & Cancellation Policy:

The initial term of your agreement with Yiplahost is as stated in your Order Form. After the initial term, your agreement will automatically renew for successive terms unless terminated or canceled by either party.

You may terminate this agreement by submitting a helpdesk ticket under the Billing Issues category at least three (3) working days before your account is due for renewal. Yiplahost may terminate this agreement at any time without prior notice if you violate any terms or conditions herein, if your use of the Services places unreasonable demands or disrupts Yiplahost’s business operations, or if Yiplahost determines that you have violated the terms of any other agreement between you and Yiplahost.

Upon termination, (a) no pre-paid fees will be refunded, and (b) Yiplahost may take control of any domain name associated with the terminated Services, provided it was registered through Yiplahost’s domain name registration.

Refunds may be available for cancellations within specific timeframes, subject to the terms and conditions of the respective hosting packages. Refunds do not apply to certain items such as dedicated IP addresses, SSL certificates, renewals, and any third-party products that are not included in the package and are purchased separately.

If this agreement is terminated due to your default, you shall bear all termination costs incurred by Yiplahost. You agree to pay any costs Yiplahost incurs in enforcing your compliance with this section. Upon termination, you must destroy any copies of materials provided and referenced in this Agreement. Yiplahost may delete all information related to you on the Services upon termination or discontinuance.

12. Customer Support:

Yiplahost provides customer support for Yiplahost’s service-related issues at no additional fee. Yiplahost reserves the right to determine what constitutes a service-related issue and may charge additional fees or refuse support for non-service-related issues. Any fees paid for non-service-related support are non-refundable.

To request customer support, you must open a Live Chat or Ticket through the HelpDesk system located in the Customer area. Yiplahost has no obligation to provide customer support if it is requested through any other means. It is your responsibility to use the appropriate HelpDesk category when opening Live Chat or submitting a Ticket. Yiplahost will not be liable for any delays or failure to respond to tickets opened in inappropriate categories. By seeking assistance from our customer support representatives, you authorize their intervention and operation in your account.

You must provide Yiplahost with all necessary information and access to facilities required to provide the requested customer support.

Before requesting customer support and agreeing to any interference or operation by Yiplahost, you are solely responsible for performing and storing a backup copy of your data, files, and hosting account. If you are not satisfied with the outcome of any action, you are solely responsible for restoring the backup copies of your data. Please avoid abusing the HelpDesk system, which includes excessive usage of Live Chats and Tickets, aggressive or harassing behavior, and repetitive use of inappropriate categories. Abuse of the HelpDesk system may result in warnings, access restrictions, account suspension, or possible account termination without refund. Yiplahost has the sole right to determine what constitutes abuse of the HelpDesk system.

For server support related to VPS or Dedicated servers with User-Responsible or Basic types of Server Management, Yiplahost reserves the right to decide whether to provide support based on a preliminary server check. If Yiplahost decides to provide support, it will be at an additional cost as indicated on the New Servers Page Server Management Section.

To maintain server uptime commitments for VPS and Dedicated servers with Complete Management, Yiplahost reserves the right to remove system logs and files in the Trash folder when the server reaches the disk space limit.

13. Legal Purposes:

The web hosting and reseller hosting accounts, as well as related electronic services, must be used for legal purposes in compliance with all applicable international, federal, provincial, and municipal laws. Yiplahost’s intention is to provide space for serving web documents, not as an off-site storage area for electronic files. Violations of the Acceptable Use Policy (AUP) or any other provisions of this Agreement may result in termination of the Services provided by Yiplahost, with or without notice or cure period, at Yiplahost’s sole discretion based on the severity of the violation. Yiplahost reserves the right to refuse service if any content within your website or any links from your website are deemed illegal, misleading, obscene, or otherwise in breach of Yiplahost’s AUP, as determined solely by Yiplahost. You agree that Yiplahost shall not be liable to you for any loss or damages resulting from its refusal to host your website or provide the Services under this Agreement.

14. Account Use:

You agree to adhere to generally accepted rules of “Netiquette” when sending email messages or posting to newsgroups. It is your responsibility to maintain the security of your password. Yiplahost will not change passwords to any account without satisfactory proof of identification, which may include written authorization with a signature. In the event of a partnership break-up, divorce, or other legal issues involving you, you understand that Yiplahost will remain neutral and may temporarily suspend the account until the situation is resolved. Yiplahost will not be liable for any losses incurred by you during this period of determining ownership or otherwise. You agree to defend, indemnify, and hold Yiplahost harmless from any and all claims arising from such ownership disputes. When supplying or transmitting sensitive information to Yiplahost, you should take all necessary precautions to provide such information over a secure communication channel.

15. Currency:

While all purchases are processed in US dollars, Yiplahost may provide an estimated conversion price for currencies other than US dollars. You acknowledge and agree that the pricing displayed during the checkout process is an estimate. Due to potential slight time delays between the actual purchase and payment settlement, the actual charged price may fluctuate. Therefore, Yiplahost makes no representations or warranties that the actual price will be the same or substantially similar to the estimated price, and you waive any claims based on any discrepancy between the estimate and the actual price. Additionally, you may be charged VAT based on the country indicated in your billing address. Any applicable charges will be shown during the checkout process.

16. Limitation of Liability; Waiver and Release:

The Services provided by Yiplahost are offered on an “AS IS” basis, and Yiplahost expressly disclaims any and all warranties, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. Yiplahost does not warrant that the Services will meet your requirements, function as intended, or be uninterrupted or error-free. You understand and agree that any material and/or data downloaded or obtained through the Services is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data resulting from such downloads. No advice or information, whether oral or written, obtained from Yiplahost shall create any warranty not expressly stated in this Agreement. You agree that Yiplahost shall not be liable for any suspension or loss of Services, interruption of business, access delays, data non-delivery, events beyond Yiplahost’s control, or any other direct, indirect, incidental, special, exemplary, or consequential damages, even if Yiplahost is aware of the possibility of such damages. In no event shall Yiplahost’s total aggregate liability exceed the total amount paid by you for the particular Services that are the subject of the cause of action. Any cause of action arising out of or related to Yiplahost or the Services provided by Yiplahost must be commenced within one (1) year after the cause of action accrues, or it will be permanently barred. The foregoing limitations shall apply to the fullest extent permitted by law and shall survive any termination or expiration of this Agreement or your use of Yiplahost’s Services.

No waiver of any provision of this Agreement shall be effective unless it is in writing and signed by an authorized representative of Yiplahost.

17. Indemnification:

You hereby release, remise, and forever discharge Yiplahost and its affiliates, officers, agents, employees, and representatives from any and all claims, liabilities, damages, and expenses arising from the Services and your use thereof. You agree to defend, indemnify, and hold Yiplahost and its contractors, agents, employees, officers, directors, shareholders, affiliates, and assigns harmless from any loss, liability, damages, or expense, including reasonable attorney’s fees, arising out of any breach of your representations or warranties provided in this Agreement, your use of the Services, infringement of any intellectual property or other proprietary right, information or data supplied by you, inclusion of metatags or other elements on your website, information, material, or services available on your Yiplahost hosted website, or any negligence or willful misconduct by you. Yiplahost may seek written confirmation of your obligation to defend and indemnify, and failure to provide such confirmation may be considered a breach of this Agreement. You agree to notify Yiplahost promptly in writing of any claim and to cooperate fully with Yiplahost during such proceedings. The terms of this section shall survive any termination or cancellation of this Agreement.

18. Trademark or Copyright Claims:

Yiplahost respects the copyrights and other intellectual property rights of others and reserves the right to access, preserve, and disclose any of your information or data related to a written complaint of infringement, if deemed necessary or useful to respond to such complaint. Yiplahost may terminate the account or access rights of a subscriber for repeated copyright infringement or even one instance of infringement. Proper notice of infringement must include specific information and be sent to Yiplahost’s designated agent. Yiplahost may also have a Copyright Infringement Policy in place, which is incorporated herein.

19. Notices:

You agree that any notices required to be given under this Agreement by us to you will be considered delivered if sent to the contact information provided in your account and/or domain name Whois information. It is your responsibility to ensure that your contact information is accurate and up to date in the account and/or domain name Whois information you have provided.

20. Legal Age:

By entering into this Agreement, you attest that you are of legal age (18 or over).

21. Final Agreement:

This Agreement, along with all modifications, constitutes the entire agreement between you and us, superseding all prior proposals, agreements, or other communications. This Agreement may not be amended or modified by you except through a written document signed by both you and an authorized representative of ours. By applying for Yiplahost’s services or using the Services under this Agreement, you acknowledge that you have read and agree to be bound by all terms and conditions of this Agreement and any documents incorporated by reference.

22. No Agency Relationship:

This Agreement does not create an agency, partnership, or joint enterprise between the parties. Neither party shall represent otherwise, either explicitly, implicitly, by appearance, or otherwise.

23. Enforceability:

If any provision of this Agreement is deemed unenforceable or invalid under applicable law or by a court decision, it shall not render the entire Agreement unenforceable or invalid. We will replace or amend the unenforceable or invalid provision with a valid and enforceable one that achieves, to the extent possible, our original objectives and intent as reflected in the original provision.

24. Assignment and Resale:

Except as stated otherwise, your rights under this Agreement are not transferable or assignable. Any attempt by your creditors to obtain an interest in your rights under this Agreement renders the Agreement voidable at our option. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services for commercial purposes without Yiplahost’s prior written consent.

25. Force Majeure:

Neither party shall be considered in default or held responsible for any cessation, interruption, or delay in performance of obligations under this Agreement due to causes beyond its control, including but not limited to natural disasters, acts of God, war, terrorism, labor strikes, government actions, or any other cause or circumstance beyond the reasonable control of the affected party. The party relying on this section must provide prompt written notice to the other party and take reasonable steps to mitigate the effects of the force majeure event. If a force majeure event extends for a period exceeding thirty (30) days in aggregate, Yiplahost may terminate this Agreement.

26. Headings:

The section headings in this Agreement are provided for convenience only and do not define, limit, construe, or describe the scope or extent of the respective sections or affect their interpretation.

27. Dedicated Servers Refund Policy

Unmanaged servers are non-refundable.
If you’ve added a managed service, only that portion may be considered for a refund.
We offer a 100% refund within 48 hours of delivery if the delivered server does not match what was advertised.

28. Upon Termination

All data may be deleted permanently.
Domains registered via Yiplahost may be reclaimed.
Any legal or recovery costs due to policy violations are your responsibility.
